Terms of Use
Effective 24 October 2026
1. About these terms
These terms are between you and Alex Arkum Tantuo, trading as IQUTY, P.O. Box CE 11926, Tema, Ghana ("we", "us"), who run OrderxPay: the mobile app for merchants and the web pages their customers use to order and pay. By creating an account or using the app you agree to them. If you are paying a merchant (not using the app), section 12 is the part that matters to you. Please read our Privacy Policy as well: it explains what we do with your information.
You must be at least 18 and able to enter a contract. If you sign up on behalf of a business, you confirm you are allowed to commit it to these terms.
2. What OrderxPay is
OrderxPay is software that lets a business list what it sells, send invoices and take orders, collect payment from its customers by Mobile Money or card, keep records, and be paid out. Payments are processed by our payment partner Paystack, and some messages are sent through other providers (our Privacy Policy lists them). OrderxPay is not a bank and does not offer loans, savings or investments.
3. Your account
- Give us true and current information, and keep it up to date. One person owns each business account; the owner can add staff.
- Keep your password and the codes we text you to yourself. Anything done with them is treated as done by you. Tell us straight away at the address in section 15 if you think someone else has got in.
- You are responsible for what your staff do in the app, and for removing a staff member who should no longer have access.
4. Verification and limits
To raise how much you can collect, and to be paid out, we verify who you are: your Ghana Card number, a selfie taken in a short liveness check, and, for a registered business, its registration number and certificate. We may ask for more, and we may refuse or limit an account where we cannot verify it or where the law or our payment partner requires it.
Limits on what you can collect depend on how far you have verified. When a limit stops something, the app says what raises it.
5. Payments, fees and payouts
- Customers pay on Paystack's page, not ours. We never see card numbers or Mobile Money PINs.
- Fees: we charge a fee on payments you collect, made up of what the payment partner charges to collect it and our own margin. We do not charge a separate fee for the payout itself. The current fees are shown in the app, including on each invoice before you send it. In your fee settings you choose who covers the collection fee: your customer (added on top of the price), you (taken out of what you receive), or both of you. A service charge you set yourself is yours; it is not our fee.
- We may change our fees. We will tell you in the app or by SMS before a change takes effect, and it applies only to payments made after that.
- Payouts go only to a Mobile Money number or bank account that we can confirm is held in your own name or your business's name. The first payout account you add takes effect at once. Replacing it waits 24 hours, during which we text the owner and the owner can cancel, to protect you if someone else has your password.
- Your share of each payment is paid out automatically by our payment partner to your payout account, normally on the next working day after the customer pays. It is your share less the collection fee, if you chose to cover it, and less anything you owe us under section 6. After that, the banks and the Mobile Money networks decide how fast the money arrives, so we cannot promise a time.
- Payouts to a bank account have a minimum set by the payment partner (currently GH₵50): a smaller amount waits until it reaches the minimum, at no cost to you. Payouts to Mobile Money have no minimum.
- We may hold, delay or stop payouts while we look into suspected fraud, a dispute, or a request from the authorities or our payment partner, and we will tell you why unless the law stops us.
6. Refunds, disputes and chargebacks
- You are responsible to your customers for what you sell: its quality, delivery and your own refund policy. We are not the seller.
- A customer can complain to us about an invoice. We review it with both sides and may refund the customer through the payment partner where we think it is warranted.
- When a payment is refunded, the customer gets the whole amount back through the payment partner, and we bear that cost first. The part of it that was paid or payable to you, we then recover from you.
- We recover it in two steps. First we ask you to pay it back, telling you the amount, which payment and dispute it is for, why, and the time you have. If you have not paid it back in that time, we may hold back part of your future payouts until it is repaid, and we will tell you how much and why. We will never take more than you owe.
- If there are no future payouts to hold back from (for example, because the account is closing), you must pay it back when we ask.
- If a payment is reversed by a bank, card network or Mobile Money network, the same applies.
7. What you must not do
- Use OrderxPay for anything illegal in Ghana, for fraud or scams, or to launder money or move money for someone else.
- Sell anything that our payment partner's rules or the Mobile Money networks' rules do not allow.
- Give false details, use someone else's identity or payout account, or try to get around a limit or a verification step.
- Send customers messages they have not agreed to. Marketing messages need the customer's recorded consent.
- Interfere with the service, try to get into other people's accounts, or copy or reverse-engineer the app.
8. Your customers' information
When you add your customers' names, phone numbers and orders, you decide what to collect and why, and you must have the right to do so and use it lawfully. We store and process it for you, as our Privacy Policy describes.
9. The service
We work to keep OrderxPay running and secure, but it depends on networks, phones and other companies, so it may sometimes be slow, unavailable or late (for example, a text message that arrives late). We may improve, change or stop parts of it, and will give you notice where we can, especially for anything that affects your money.
10. Suspending and closing an account
- We may restrict or suspend an account, or refuse a payment, if we think these terms are broken, if there is a risk of fraud or harm, or if the law or our payment partner requires it. Where we can, we will tell you why.
- You can close your account yourself: More → Account & Security → Account → Delete account in the app, or https://shop.orderxpay.com/delete-account. It becomes read-only for 14 days, during which you can change your mind, and is then closed. It cannot be closed while money is owed in either direction (for example a balance not yet paid out, a payout in progress, an open dispute or a refund you owe).
- When an account closes we delete what we do not have to keep and keep payment and verification records for 6 years, as the Privacy Policy explains. Sections that by their nature continue (refunds you owe, liability, the law that applies) continue after the account closes.
11. Our responsibility
Nothing in these terms limits a liability that the law does not allow us to limit. Subject to that, we are not responsible for losses caused by someone else (a payment partner, bank, network or phone company), by an incorrect number or detail you or your customer entered, by a password or code you did not keep safe, or for lost profit or other indirect loss. Our total responsibility to you for any claim is limited to the fees you paid us in the twelve months before it arose.
12. If you are paying a merchant
When you pay an invoice or order from a merchant's link, you are buying from the merchant, not from OrderxPay. We take your payment through Paystack and pass it on to the merchant. Questions about what you bought go to the merchant first. If you cannot sort it out, write to us at the address in section 15 with the invoice reference and we will look into it.
13. Changes to these terms
If we change these terms in a way that matters, we will tell you in the app or by SMS before the change takes effect. If you carry on using OrderxPay after that, you accept the new terms. The date at the top shows the latest version.
14. The law that applies
These terms are governed by the laws of Ghana, and the courts of Ghana can settle any dispute about them. This does not take away rights you have under law that cannot be waived.
